Valuations

We work with our partners to provide the right valuation specialist to provide opinions and analysis to your board of directors, independent committee and investors.

A fairness opinion is critical in a fiduciary’s ability to exercise judgment in a transaction involving a conflict of interest. EEP’s partners, Evans and Evans, have been selected based on their specialized industry experience.

Access to this experience enables us to provide objective and specific advice on the valuation of the business and securities in connection with mergers, acquisitions, leveraged buyouts, restructuring and market activities.

When rendering fair opinions and valuations, EEP also undertakes financial due diligence by visiting relevant sites and discussing with senior management. Legal, accounting and tax advisors are consulted regarding any pertinent issues if required.

EPP’s team has extensive experience preparing fairness opinions or valuations using a variety of methodologies, including:

  • Discounted cash flow analysis
  • Comparable company analysis
  • Comparable transaction analysis
  • Pro Forma Analysis
  • Trading history
  • Other factors analysis (i.e. liquidation analysis, recapitalization and buyout analysis, potential capital requirements, combined proforma ownership and capitalization, etc.)
